General Terms and Conditions (GTC)

§ 1  Scope and Contracting Party

1.1  These General Terms and Conditions apply to all orders placed via the online shop www.the-simple-club.ch.

1.2  The provider and contracting party is:

1.3  The contract language is German.

1.4  Deviating conditions of the customer will not be recognized unless we expressly agree to their validity in writing.

 

§ 2  Offer and Conclusion of Contract

2.1  The presentation of products in the online shop does not constitute a legally binding offer, but an unbinding invitation to place an order (invitatio ad offerendum).

2.2  By submitting the order, the customer makes a binding offer to purchase the selected products.

2.3  After receiving the order, the customer will receive an automatic confirmation of receipt by email. This confirmation of receipt does not yet constitute acceptance of the offer.

2.4  The purchase contract is only concluded when we accept the order through a separate order confirmation by email or dispatch the goods. We reserve the right to reject orders without stating reasons.

 

§ 3  Prices and Payment Terms

3.1  All stated prices are total prices in Swiss Francs (CHF) and include the statutory value-added tax. Any shipping costs will be shown separately.

3.2  We reserve the right to change prices at any time. The price displayed at the time of the order is decisive.

§ 4  Delivery and Shipping

4.1  The delivery period after receipt of payment is generally 5-10 working days within Switzerland, unless otherwise specified.

4.2  Shipping costs are clearly indicated during the order process and must be borne by the customer, unless a free option has been agreed upon.

4.3  The risk of accidental loss and accidental deterioration of the goods passes to the customer upon handover to the shipping service provider.

4.5  Should delivery be delayed due to force majeure, strike, or other unforeseen circumstances, we will inform the customer without delay.

 

§ 5  Right of Withdrawal and Returns

5.1  Customers can return ordered goods within 30 calendar days of receipt of the goods, provided they are unworn, unwashed, have all original tags, and are in their original condition.

5.3  Reasons for Return

Returns are exclusively possible for verifiable product defects, manufacturing faults, or incorrect deliveries. Returns, exchanges, or refunds due to incorrectly ordered sizes, incorrect selection by the customer, or mere change of mind are excluded.

 

5.4  To return an item, please contact info@the-simple-club.ch in advance. We will provide you with the return address and further instructions.

 

5.5  Return shipping costs are borne by the customer, unless the return is due to an error on our part.

 

5.6  After receipt and inspection of the return, we will refund the purchase price to the originally used payment method within 14 days.

 

§ 6  Retention of Title

6.1  The delivered goods remain our property until full payment of the purchase price (retention of title according to Art. 715 ZGB).

6.2  The customer is obliged to treat the goods subject to retention of title carefully until full payment.

 

§ 7  Warranty for Defects

7.1  For defects in the purchased item, the statutory provisions of the Swiss Code of Obligations (OR) apply, in particular Art. 197 et seq. OR.

7.2  The warranty period is two years from the delivery of the goods (Art. 210 OR).

7.3  Defects must be reported in writing immediately upon their discovery. Obvious defects must be reported within 7 days of receipt of the goods.

7.4  In the case of a justified complaint of defects, we have the choice between rectification, replacement delivery, price reduction, or termination of the contract.

 

§ 8  Limitation of Liability

8.1  We are liable without limitation for damages caused by intentional or grossly negligent conduct.

8.2  For slight negligence, we are only liable insofar as an essential contractual obligation (cardinal obligation) has been violated. In these cases, liability is limited to the foreseeable, typical contractual damage.

8.3  The foregoing limitations of liability do not apply in cases of injury to life, body, or health, nor in cases of liability under the Product Liability Act.

8.4  We assume no liability for damages caused by force majeure.

 

§ 9  Data Protection

9.1  The protection of your personal data is important to us. Information on the collection, processing, and use of your personal data can be found in our data protection policy on our website.

9.2  Your data will be used exclusively for contract processing and – if you have given your consent – for marketing purposes. Data will only be passed on to third parties if this is necessary for the fulfillment of the contract (e.g., shipping service providers, payment providers).

 

9.3  The Swiss Data Protection Act (DSG) and the data protection policy on our website apply.

 

§ 10  Copyright and Trademark Law

10.1  All content of the online shop (texts, images, graphics, logos, etc.) is protected by copyright. Reproduction or use without express permission is prohibited.

 

§ 11  Dispute Resolution and Applicable Law

11.1  These GTC and all legal relationships arising therefrom are exclusively governed by Swiss law, to the exclusion of the Vienna Sales Convention (CISG) and international private law.

11.2  The exclusive place of jurisdiction for all disputes arising from or in connection with this contract is Basel Stadt, Switzerland, to the extent permitted by law.

11.3  For consumers, this place of jurisdiction applies only insofar as there are no mandatory statutory provisions on jurisdiction to the contrary.

11.4  For out-of-court dispute resolution, consumers may contact the Swiss Ombudsman for E-Commerce (www.ombudscom.ch), provided it is competent.

 

§ 12  Severability Clause and Amendments

12.1  Should individual provisions of these GTC be or become wholly or partially ineffective, the validity of the remaining provisions shall remain unaffected. The statutory regulation shall apply in place of the ineffective provision.

12.2  We reserve the right to amend these GTC at any time. The GTC valid at the time of the order shall apply.
